Introduction

These Terms and Conditions ("Terms") govern your access to and use of the IV Hub mobile application (the "Consumer App") and the IV Hub Servicer mobile application (the "Servicer App"), collectively referred to as the "Apps," operated by IV-Hub LLC ("Company," "we," "us," or "our").

By creating an account or using either App, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Apps.

These Terms are governed by the laws of the State of Florida, United States, and our services are currently offered exclusively within Florida.

Part 1 — General Terms (Applicable to All Users)

1. Eligibility

1.1 Consumer App: You must be at least 16 years of age to create a consumer account or use the IV Hub consumer app. Users between the ages of 16 and 18 must have the knowledge and consent of a parent or legal guardian.

1.2 Servicer App: You must be at least 18 years of age to create a Servicer account. Additionally, individual Servicers must be licensed healthcare professionals and must pass our onboarding and verification process before providing services on the platform.

1.3 Geographic Restriction: Both Apps are currently available for use within the State of Florida only.

1.4 Legal Capacity: You must have the legal capacity to enter into a binding agreement under applicable law.

2. Account Registration and Security

  • You must provide accurate, current, and complete information during registration and keep it updated at all times.
  • You are responsible for maintaining the confidentiality of your account credentials. You must not share your password with any other person.
  • You are responsible for all activities that occur under your account. If you suspect unauthorized access to your account, you must notify us immediately at support@myivhub.com.
  • We reserve the right to suspend or terminate accounts that we believe have been compromised or used in violation of these Terms.

3. Platform Role

3.1 IV-Hub LLC is a technology platform that facilitates connections between consumers seeking IV therapy services and verified Servicers (individual nurses and wellness centers) who offer such services.

3.2 IV-Hub is not a healthcare provider, medical practice, or licensed healthcare facility. We do not provide medical advice, diagnose medical conditions, or recommend specific therapies. The services delivered through the platform are provided by independent Servicers who are responsible for the clinical decisions and delivery of care.

3.3 IV-Hub makes no guarantees regarding the outcome, safety, or efficacy of any specific IV therapy service delivered by a Servicer through the platform.

4. Prohibited Conduct

You agree not to:

  • Use the Apps for any unlawful purpose or in violation of any applicable law or regulation.
  • Provide false or misleading information during registration, booking, or any interaction on the platform.
  • Impersonate any person or entity.
  • Harass, threaten, or intimidate any other user of the platform.
  • Attempt to access any portion of the platform that you are not authorized to access.
  • Use the Apps to transmit spam, malware, or malicious content.
  • Interfere with or disrupt the operation of the Apps or the servers and networks connected to them.
  • Circumvent any measures we use to restrict access to the platform.
  • Use the Apps in any way that could damage our reputation or business.
  • Collect or harvest any personal information about other users without their consent.

5. In-App Chat

  • The in-app chat feature is session-based. Each booking session has a separate, isolated chat conversation.
  • Chat is provided solely to facilitate communication between consumers and Servicers in connection with a specific booking. It must not be used for any purpose outside the scope of the booked session.
  • You must not use chat to share personal contact information, solicit off-platform transactions, or engage in any prohibited conduct.
  • We reserve the right to review chat messages in connection with dispute resolution or investigation of policy violations.

6. Intellectual Property

All content within the Apps, including but not limited to software, design, text, graphics, logos, and icons, is the property of IV-Hub LLC or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any content in the Apps without our express written permission.

7. Limitation of Liability

7.1 To the maximum extent permitted by applicable law, IV-Hub LLC shall not be liable for any indirect, incidental, consequential, punitive, or special damages arising out of or related to your use of the Apps, including but not limited to loss of revenue, loss of data, or personal injury.

7.2 IV-Hub's total aggregate liability to you for any claim arising under or related to these Terms shall not exceed the greater of (a) the total amount you paid to IV-Hub in the 3 months preceding the event giving rise to the claim, or (b) $100.00 USD.

7.3 Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

8. Indemnification

You agree to indemnify, defend, and hold harmless IV-Hub LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Apps, your violation of these Terms, your violation of any third-party rights, or any content you submit or transmit through the Apps.

9. Governing Law and Dispute Resolution

9.1 These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

9.2 Any dispute arising out of or related to these Terms or the Apps shall be resolved first through good-faith negotiation. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration conducted in Miami-Dade County, Florida, under the rules of the American Arbitration Association (AAA).

9.3 You waive any right to bring claims as a class action plaintiff or class member in any class action proceeding.

9.4 Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you through the App or by email. Your continued use of the Apps after such notification constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Apps and delete your account.

11. Termination

11.1 You may terminate your account at any time by using the account deletion feature in the App or by contacting us at support@myivhub.com.

11.2 We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, applicable law, or if we determine that your account poses a risk to the platform or its users.

11.3 Upon termination, your right to use the App immediately ceases. Provisions of these Terms that by their nature should survive termination shall survive.

Part 2 — Consumer-Specific Terms

12. Booking Services

  • Consumers may use the IV Hub app to book IV therapy sessions with individual Servicers (nurses) for home visits, or with wellness centers for in-clinic visits.
  • After submitting a booking request, the platform notifies the assigned Servicer or wellness center, who has one (1) minute to accept or reject the request. If no response is received within one minute, the booking is automatically cancelled and no charge is made to your payment method.
  • No Guarantee of Acceptance: There is no guarantee that any Servicer or wellness center will accept your booking request.
  • One Therapy Per Day: You may book only one IV therapy session per day.
  • You may book a session for another person by providing their name and phone number. You remain responsible for all charges.
  • Maximum Saved Addresses: You may store up to five (5) addresses in your account.
  • Maximum Saved Payment Methods: You may store up to three (3) payment cards in your account.

13. Cancellation and Rescheduling Policy

13.1 Free Cancellation Window: You may cancel or reschedule a confirmed booking without penalty if you do so before the cancellation cutoff time applicable to your booking. The current free cancellation window is displayed within the IV Hub mobile app at the time of booking.

13.2 Late Cancellation Fee: If you cancel or fail to appear for a booking after the cancellation cutoff time has passed, a late cancellation penalty fee will be charged to your payment method on file.

13.3 Dynamic Policy: The cancellation window and penalty fee are determined by IV-Hub and may be updated at any time. The policy shown in the IV Hub mobile app is the current, authoritative policy.

13.4 How to Cancel: Cancellations must be submitted through the "My Bookings" section of the App.

13.6 Refunds: If a booking is cancelled within the free cancellation window, any pre-authorized payment hold will be released. Refunds typically take 5–10 business days, depending on your card issuer.

14. Payments

  • Payment for confirmed bookings is held by the platform until the therapy session is completed.
  • Payment is released to the Servicer only after the session is marked as completed.
  • In the event of a dispute regarding service delivery, IV-Hub may withhold payment pending resolution.
  • All prices displayed in the App are in USD. Applicable taxes and fees will be disclosed at checkout.
  • Promotional coupons and discount codes may be applied at checkout, subject to their applicable terms and expiration dates.

15. Age Restriction

The Consumer App is available to users 16 years of age and older. By registering, you confirm that you meet this age requirement.

Part 3 — Servicer-Specific Terms

16. Onboarding and Eligibility (Servicers)

16.1 To provide services on the IV Hub platform as an individual Servicer, you must:

  • Be 18 years of age or older.
  • Hold a valid, current healthcare license appropriate for delivering IV therapy services.
  • Complete our onboarding forms, including submission of professional credentials, certifications, and required documents.
  • Complete and pass a background check conducted by our verification partner.
  • Agree to and sign our NDA, HIPAA Business Associate acknowledgment, background check consent, and platform policies acknowledgment during the onboarding process.

16.3 Admin Approval Required: Your account will not be activated and you will not be able to accept bookings until your application has been reviewed and approved by the IV-Hub administrative team.

16.4 You are responsible for maintaining the validity of your professional licenses and certifications throughout your time on the platform.

17. Card Verification and $1.00 Charge

  • As part of the process for receiving your platform inventory (Welcome Kit), you are required to add a valid payment card and authorize a $1.00 USD card verification charge.
  • This charge exists solely to verify that your payment card is valid and capable of processing transactions. It does not represent a service fee.
  • The $1.00 charge is a live transaction test and is the only payment-related charge made to your card for verification purposes.

18. Platform Inventory (Welcome Kit)

  • Following successful onboarding verification, admin approval, and card verification, individual Servicers may claim an initial inventory package (the "Welcome Kit") from IV-Hub at no cost.
  • Inventory claimed from the platform is provided exclusively for use in delivering services to consumers booked through the IV Hub platform.

19. Booking Acceptance and Rejection

  • When a consumer submits a booking request that matches your availability and service radius, you will receive a notification and have one (1) minute to accept or reject the request.
  • If you do not respond within one minute, the booking will be reassigned to another available Servicer.
  • Repeated failure to respond to booking requests may result in lower visibility on the platform or account review.
  • You retain the right to reject any booking request for any non-discriminatory reason.

20. Service Delivery

  • Upon accepting a booking, you are committed to appearing at the scheduled location and time to deliver the agreed service.
  • Journey Start (Home Visits): You may initiate the "Start Journey" status only when you are within 6 hours of the scheduled appointment time.
  • Vital Intake Form: Before starting a therapy session, you are required to complete a Vital Intake Form within the App to document the consumer's relevant vitals and confirm consent to proceed.
  • You agree to handle all consumer health information encountered during service delivery in strict confidence and in compliance with applicable laws, including HIPAA where applicable.

21. Earnings and Payouts

  • Earnings for completed sessions are released after the consumer's session is marked as completed and any applicable review period has passed.
  • The platform deducts a commission from each completed booking. The commission rate will be disclosed to you in the App and during onboarding.
  • Tips received from consumers are paid directly to Servicers in full, without deduction of platform commission.

24. Servicer Independence

Servicers on the IV Hub platform operate as independent contractors, not as employees, agents, or partners of IV-Hub LLC. IV-Hub does not direct or control the clinical methods, procedures, or professional judgments of Servicers. Servicers are solely responsible for their own taxes, insurance, professional licensing, and compliance with applicable healthcare regulations. Nothing in these Terms creates an employment relationship between IV-Hub and any Servicer.

Part 4 — Additional Provisions

25. Disclaimer of Warranties

The apps are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, IV-Hub LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the apps will be uninterrupted, error-free, or free of viruses or other harmful components.

26. Health and Safety Disclaimer

26.1 IV therapy involves the administration of intravenous fluids and supplements, which carries inherent medical risks. IV-Hub strongly recommends that consumers consult with a licensed physician before booking any IV therapy session, particularly if they have existing medical conditions, allergies, or are taking medications.

26.2 IV-Hub does not evaluate the medical suitability of any specific therapy for any individual consumer. All clinical assessments and decisions are the sole responsibility of the Servicer.

26.3 In the event of a medical emergency during or after a therapy session, call 911 immediately.

27. No Medical Advice

Nothing in the Apps, including therapy descriptions, suggested add-ons, promotional content, or any other materials, constitutes medical advice. The Apps do not establish a doctor-patient relationship. Users should seek professional medical advice before making healthcare decisions.

28. Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you enter into with us (such as the Servicer NDA), constitute the entire agreement between you and IV-Hub LLC regarding the subject matter hereof.

29–30. Severability and Waiver

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any provision shall not be deemed a waiver of that provision.
